Summary

POSITION SUMMARY

Working closely with the General Counsel, you will provide legal support to all business functions of Supreme and its subsidiaries. Provision of legal services includes: (i) supporting and advising on corporate/commercial, financing, securities law, information technology, and intellectual property law issues; (ii) drafting and negotiating key commercial agreements related to the sales and distribution of cannabis and inbound procurement of cannabis related products and services; (iii) conducting due diligence on legal aspects of transactions to ensure legal and policy compliance; and (iv) advising proactively on developments in relevant statutes, regulations, policies and case law, legal exposures as well as risks and legal challenges within the cannabis industry.

RESPONSIBILITIES:

  • Assisting and advising on corporate/commercial, financing, securities law, information technology, and intellectual property law issues.
  • Drafting and negotiating key commercial agreements related to the sales and distribution of cannabis and inbound procurement of cannabis related products and services.
  • Conducting and overseeing due diligence, contract analysis, closings and other routine elements of complex corporate transactions.
  • Advising proactively on developments in relevant statutes, regulations, policies and case law, legal exposures as well as risks and legal challenges within the cannabis industry.
  • Managing privacy and risk management initiatives.
  • Working closely with commercial business teams to commercialize new products and services.

QUALIFICATIONS

  • A Bachelors of law degree (LL.B) and/or juris doctor (J.D.) degree. Member in good standing of the Law Society of Upper Canada.
  • 1-4 years of post-call experience at a medium or large law firm or in-house legal department.
  • Corporate, commercial and securities law experience.
  • Experience in capital markets, financing and M&A transactions involving public companies is preferred but not required.
  • Experience dealing with Health Canada is preferred but not required.
  • Superior oral and written communication, organizational, interpersonal, and analytical skills.
  • Demonstrated ability to communicate and influence at all levels across the organization.
  • Ability to work with all levels of management within a matrix organization in a fast-paced work environment.
  • Must be a self-starter and able to work with little supervision.
  • Must be passionate about the cannabis industry.
  • Ability to facilitate and manage change.
